General Terms and Conditions of Sale
Article 1. APPLICATION
1.1 Application:
These general terms and conditions apply to all orders placed with our company, Tonnelle-Pliante. They take precedence over all other general terms and conditions. They form the sales agreement, supplemented by the stipulations of the order and any special conditions. By signing the agreement or order form and confirming the order, the contracting party acknowledges that they have read and accepted these general terms and conditions. These conditions apply to all contracts concluded, including verbally, within the scope of business relations following the first order.
1.2 Derogations:
Only derogations expressly agreed upon in writing by us may modify the application of these general terms and conditions of sale.
1.3 Exclusion:
Unless expressly and in writing agreed by us, the general terms and conditions of purchase and sale stated in any documents issued by our clients are not binding on us. The contract is always considered concluded under our own terms and conditions, and the acceptance of an order does not imply our agreement to the purchasing conditions of the contracting party. The contracting party declares that they irrevocably renounce their own conditions in the context of the relationship between the parties, including in future relationships, unless expressly agreed otherwise in writing.
Article 2. OFFER BY TONNELLE-PLiante
2.1 Product Availability and Prices:
Our product and price offers are valid as long as they are visible on the website, subject to availability from our suppliers. In case of unavailability of one or more products, we will inform the buyer. The prices listed on our site may be updated without notice, and we reserve the right to change our prices in the event of an increase in the cost of raw materials or components necessary for production. Prices listed on the website are exclusive of VAT and other taxes. Only the price stated on the order form is contractual.
2.2 Product Identification:
Photographs, texts, graphics, and technical data sheets are provided for informational purposes and are not contractually binding. The product descriptions visible on our site are intended for informational purposes and do not engage our responsibility. All equipment presented on the site is designed to operate at an ambient temperature of 24°C and 60% humidity. This information cannot be used as tangible evidence in case of a dispute.
2.3 Modification and/or Cancellation of the Order:
Modifications requested by the customer will only be valid if accepted and confirmed in writing. Any modification of the order may result in adjustments to delivery times and additional costs. In case of cancellation, a flat fee of 30% of the total price will be due to Tonnelle-Pliante to cover administrative costs, stock management, etc. In case of cancellation after the purchase of raw materials, Tonnelle-Pliante may require compensation of 50% of the total order amount. No cancellations will be accepted once manufacturing has started or products have been purchased. In this case, the customer must pay the full price.
Article 3. PRICES AND PAYMENT TERMS
3.1 Payment Method:
Payment can be made via Stripe, credit card, bank transfer, PayPal, or other payment methods available on our site. Transaction fees may apply in the event of a refund, depending on the chosen payment method.
3.2 Online Payment:
By validating the order, you confirm that you have the necessary authorizations to use the chosen payment method. We guarantee that payment data is secured by SSL encryption and is never transmitted in plain text.
3.3 Full Payment:
Unless otherwise specified on the site, payment is due in full upon order. Amounts paid cannot be considered as deposits or advances.
3.4 Payment Terms:
In case of late payment, an interest of 12% per year will be due without prior notice. A penalty clause of 15% of the principal amount, with a minimum of €150, will also be required. In case of a refund via Stripe or PayPal, transaction fees will not be refunded.
3.5 Retention of Title:
Tonnelle-Pliante reserves full ownership of the delivered products until full payment of the order is received. In case of non-payment, we reserve the right to recover the delivered products.
3.6 Price and Price Revision:
Prices are indicated in euros, excluding taxes. The applicable VAT will be that in effect on the date of shipment or delivery. Delivery fees are indicated before order validation and are the responsibility of the buyer. Prices may be revised without prior notice.
Article 4. DELIVERY TERMS
4.1 Delivery Rules:
Deliveries, even free of charge, are made at the buyer's risk. In case of damage or missing items, the buyer must notify the carrier of any reservations within 8 days.
4.2 Transportation:
Products are delivered to the address indicated on the order form. For international deliveries, additional charges will apply, and the buyer must accept them.
4.3 Delivery Time – Delay in Delivery:
Delivery times are provided as an indication. Tonnelle-Pliante cannot be held responsible for any delay in delivery. In case of delay of more than 5 working days, we will do everything possible to locate and expedite your order.
4.4 Receipt of Goods:
The buyer must check the condition of the goods upon delivery. Any non-conformity must be reported within 8 days by registered letter.
Article 5. PRODUCT WARRANTIES
5.1 Warranties:
The products come with a 12-month warranty on spare parts from the invoice date. The warranty covers manufacturing defects but excludes defects resulting from misuse, improper connection, or non-compliant installation. Labor costs for the initial installation are the responsibility of the buyer. The warranty does not apply to used products.
Article 6. RIGHT OF WITHDRAWAL
6.1 Professionals:
The right of withdrawal does not apply to professionals.
6.2 Private Customers:
Returns are subject to prior approval from Tonnelle-Pliante. Return costs will be borne by the buyer. No returns will be accepted without the original packaging in perfect condition.
Article 7. FORCE MAJEURE
No party will be held responsible in the event of force majeure (fire, strike, natural disasters, etc.) causing delay or impossibility of fulfilling the contract.
Article 8. JURISDICTION
Any dispute relating to the execution of this contract will be subject to the exclusive jurisdiction of the competent courts in Liège, Belgium.
